Terms of Use

These Terms of Use ("Terms") govern your purchase and use of the ModulTone plugins sold on this site. By downloading, installing, activating, or using a ModulTone plugin, or by completing a purchase here, you agree to these Terms. If you don't agree, don't install or use the software.

If you accept these Terms on behalf of a company, you confirm you have the authority to bind that company, and "you" then refers to it.

ModulTone is the trade name of Ivo.j music, a sole proprietorship owned by Ivo Janssen and registered with the Dutch Chamber of Commerce (KVK) under number 96501305. Business address: Veldenseweg 56, 5914 ST Venlo, the Netherlands. Contact: info@modultone.com.

You must be at least 18, or the age of legal majority where you live, to buy from this site. If you're younger, a parent or guardian needs to make the purchase and accept these Terms for you.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the merchant of record for our orders: it processes payment, determines and collects VAT or sales tax, issues your invoice, and handles payment questions and refunds. Paddle's buyer terms (paddle.com/legal/checkout-buyer-terms) apply to the payment. ModulTone never sees or stores your card details.

If you buy through KVR Marketplace instead, KVR takes the payment and handles tax under its own terms, and gives you a code. Redeem it in your account at modultone.com/account to get your licence keys and downloads. The rest of these Terms apply the same way.

Prices are shown in EUR and include VAT where the merchant of record determines it applies. We can change prices at any time; you pay the price shown at checkout when you complete your order.

Buying a plugin on this site puts your email address on our mailing list about new plugins and sales, until you unsubscribe. Every email has an unsubscribe link. See our Privacy Policy at modultone.com/privacy.

Buying a plugin grants you a personal, non-exclusive, non-transferable license to install and use it on up to three computers you own or control at any one time, for as long as you comply with these Terms. Activating a plugin registers that computer; you can release a registration from your account to move the license to a different machine. This license covers the version you bought and any later updates we release for it — there's no subscription or recurring fee.

The Mid/Side Core bundle grants this same license for every plugin included in it at the time of purchase, at the bundle price.

You may not resell, rent, sublicense, or transfer your license or license key, share a key with someone who hasn't bought the software, disable or bypass a license check, redistribute the installer or binaries, or use the software to build a directly competing product. Where mandatory law gives you an unwaivable right to interoperability information, this section doesn't override it.

You also may not use this site, your account or the software unlawfully, for fraud or spam, to infringe anyone's intellectual property, or to interfere with the site's security, for example with malware, probing for weaknesses or scraping.

MS Widener is free in exchange for a valid email address, which we use to send the download link. When you download it, we also add the address to our mailing list about new plugins and sales, until you unsubscribe. See our Privacy Policy at modultone.com/privacy for how we handle that data.

ModulTone owns the software, its code, sound design, presets, and branding. A license lets you use the software as described above; it doesn't transfer ownership or any intellectual property right to you. Audio you process with a ModulTone plugin is yours. We claim no rights over it.

You can get a full refund within 14 days of purchase, for any reason. For an order paid through Paddle, request it at paddle.net, where you look up your order with the email address you paid with. Or email info@modultone.com from that address, which works for every order. The full amount goes back to the payment method you used.

A refund ends the licences in that order: stop using those plugins and remove them from your computers. For a bundle upgrade, that's the plugins the upgrade added.

This comes on top of any statutory consumer right that the law of your country of residence gives you.

License keys and download links are sent by email, generated automatically once your payment is confirmed. Order and license emails go out through Resend. If nothing arrives within a reasonable time, check your spam folder, then email info@modultone.com — we can look up an order by your email address.

We may release updates or new features for the software but aren't obliged to. A license you hold covers installing an update at no extra charge. Support runs on a best-effort basis by email; there's no guaranteed response time.

We can terminate your license if you materially breach these Terms, for example by sharing a license key or redistributing the software, and don't fix it after we ask. On termination you must stop using the software and delete your copies. Termination doesn't entitle you to a refund or limit any other remedy available to us.

We can also suspend or end a license or your access to your account for non-payment, including a chargeback, for fraud or a security risk, or for repeated violations of these Terms.

The software is provided "as is", without warranty of any kind. We don't guarantee it's error-free or compatible with every OS, DAW, and hardware combination. This doesn't affect a statutory guarantee that applies to you as a consumer and that can't lawfully be excluded.

Our liability for a claim relating to the software or these Terms is capped at what you paid for the plugin in question, except where the law doesn't allow that cap. We're not liable for indirect or consequential damages, including lost profits or project files — keep your own backups. You agree to indemnify ModulTone against a claim, loss, or expense arising from your breach of these Terms or misuse of the software, except where we caused it.

We also don't guarantee that this site, your account and online activation are always available without interruption.

These Terms are governed by the law of the Netherlands. Disputes go to the competent Dutch court, unless mandatory consumer law gives you the right to bring a claim in your own country of residence instead.

We may update these Terms; the date at the top shows when. Changes apply from the date posted and don't reduce the rights that came with a license you already bought.

If part of these Terms turns out unenforceable, the rest stays in effect. These Terms are the entire agreement between you and ModulTone about the software. You can't assign your rights under them; we can, for example if the business changes hands. Neither of us is liable for a delay caused by something reasonably outside our control.
